Terms and Conditions for Sam Macer's perfumery course

These Terms and Conditions ("Terms") govern your access to and use of our online course, which is designed to teach beginners to become self-sufficient in creative perfumery at home. The course was released on April 5, 2024, provided by Lux & Terra Ltd. By enrolling in or accessing the course, you agree to be bound by these Terms. If you do not agree, you must not enroll or access the course. We may update these terms from time to time without prior notice.
Definitions
"We," "Us," "Our," or "Lux & Terra Ltd" refers to Lux & Terra Ltd, the provider of the course, incorporated under the laws of England and Wales.
"You," "Your," or "Customer" refers to the individual enrolling in or accessing the course, agreeing to these Terms.
"Course" refers to Sam Macer's perfumery course, including all videos, text, downloadable materials, and the associated website.
"Materials" refers to all content provided within the Course, including but not limited to videos, text, downloadable files, and website content.
1. License to Use
We grant You a non-exclusive, non-transferable, non-sublicensable, limited, and revocable license to access and use the Materials for Your personal, non-commercial use only. You may use the knowledge and skills acquired from the Course to create and market Your own perfumes commercially, but You may not copy, reproduce, distribute, or create derivative works from the Materials without Our express written permission. This license may be revoked at Our discretion if You breach these Terms.
2. Intellectual Property and Copyright
The Course, including all videos, text, downloadable materials, and the website, is Our property and is protected by copyright under the Copyright, Designs and Patents Act 1988 (UK) and globally under international copyright laws, including but not limited to the Berne Convention. You acknowledge that You have no ownership rights in the Materials beyond the license granted herein. We reserve the right to pursue legal action to protect Our copyright in any jurisdiction worldwide where infringement occurs.
3. Prohibitions
You agree not to:
- Share Your login credentials or Materials with any third party.
- Use the Materials for any commercial purpose, except as explicitly permitted for marketing perfumes created using Course knowledge.
- Create a competing course or product using Our Materials.
- Copy, reproduce, distribute, or upload the Materials to any platform or medium.
- Feed the Materials into any artificial intelligence (AI) summarization tools or similar technologies.
- Reverse engineer, disassemble, or decompile any software or technology used in the Course.
We reserve the right to terminate Your access immediately if You violate these prohibitions, and We may pursue legal action in any jurisdiction to protect Our intellectual property rights under UK and international law.
4. Disclaimers and Limitations of Liability
Your results from the Course depend on Your effort, dedication, and individual circumstances. We make no guarantees, warranties, or representations regarding the outcomes or success You may achieve. All Materials are provided "as is," without any warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the extent permitted by UK law.
We are not liable for any bodily injury, property damage, or other harm resulting from Your performance of actions described in the Course, such as handling essential oils or conducting perfumery activities. You assume full responsibility for any risks associated with such activities and agree to take all necessary precautions. Our liability for any claims arising from Your use of the Course is limited to the amount You paid for the Course, to the extent permitted by the Consumer Rights Act 2015 (UK).
5. Payment Terms
The Course fee is the amount payable at the Stripe checkout on Our website at the time of Your purchase, which may change at Our discretion. Payment is due in full upfront upon enrollment, and access to the Course will be granted once payment is confirmed through Stripe. There are no installment options, and failure to complete payment will result in denial of access.
Before completing payment, you will be asked to tick a box confirming that you want immediate access to the Course and that you understand you will lose your 14-day right to cancel once access begins (see Section 6). You cannot complete your purchase without ticking this box.
6. Your Right to Cancel and Refunds
6.1 Your legal right to cancel. If you are buying as a consumer, you normally have a legal right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel your purchase within 14 days, without giving a reason. The 14 days start on the day after your purchase is confirmed.
6.2 How you lose the right to cancel. The Course is digital content supplied online. Under the Regulations, your right to cancel ends once we start supplying the Course to you, as long as you have:
(a) expressly asked us to give you immediate access to the Course before the 14-day cancellation period ends, and
(b) acknowledged that you will lose your right to cancel once access begins.
You give this request and acknowledgement by ticking the box at checkout. You cannot complete your purchase without ticking it.
6.3 When access begins. We supply the Course to you, and your right to cancel ends, when we make the Course available to you. This happens immediately after your payment is confirmed, whether or not you then log in or view any Materials.
6.4 Confirmation. After your purchase, we will email you a confirmation of your order. The email will include a record of your request for immediate access and your acknowledgement that you have lost your right to cancel.
6.5 If your right to cancel still applies. If for any reason you still have a right to cancel (for example, because we have not yet given you access), you can exercise it by emailing info@thefragrancefoundry.com within the cancellation period. Please include your name, the email address used to purchase, and your order date. You may use the model cancellation form below, but you do not have to. We will refund you within 14 days of receiving your notice, using the same payment method you used to pay.
6.6 Your statutory rights. Nothing in these Terms affects your legal rights under the Consumer Rights Act 2015. If the Course is not of satisfactory quality, not fit for purpose, or not as described, you may be entitled to have the problem fixed or the content replaced. If that is not possible, you may be entitled to a price reduction or refund.
6.7 Change of mind. Apart from the situations above, we do not offer refunds if you change your mind after access has begun. We may, at our sole discretion, offer a refund in exceptional circumstances, assessed case by case.
7. Access Duration
You are granted lifetime access to the Materials, meaning access for as long as the Course remains hosted online by Us, provided that you adhere to these terms and conditions. We will provide reasonable notice if the Course is discontinued, and Your access may terminate at that time.
8. Course Updates
We may update the Materials from time to time to improve content or reflect changes in perfumery practices. While We aim to provide free access to updated versions, as We have done previously, this is not guaranteed. We reserve the right to charge for significant updates or new versions.
9. Bonus Offers and Add-Ons
Currently, there are no bonus offers or add-ons. Any future bonuses or additional content will be subject to these Terms, and We may modify or discontinue them at Our discretion, in accordance with UK law.
10. Private Groups and Community Access
The Course includes access to a community forum for discussion and support. Participation is subject to the following rules:
- Be respectful and professional in all interactions.
- Do not post offensive, defamatory, or unlawful content.
- Do not use the forum for commercial purposes without Our express written consent.
We reserve the right to remove any posts, comments, or members that violate these rules, and to terminate Your forum access without notice if necessary. We are not responsible for content posted by other users and disclaim any liability arising from forum interactions.
11. Data Protection and Compliance with Laws
We collect and process Your personal data in accordance with Our Privacy Policy https://thefragrancefoundry.co.uk/policies/privacy-policy, which complies with the UK Data Protection Act 2018. By using the Course, You consent to such processing. We are committed to complying with all applicable UK laws and regulations, and You agree to use the Course in compliance with these laws.
12. Governing Law and Dispute Resolution
These Terms are governed exclusively by the laws of England and Wales. Any disputes arising from these Terms will be resolved in the courts of England and Wales. You agree to submit to the exclusive jurisdiction of the English courts for any legal proceedings, in accordance with UK law.
13. Updates to Terms and Conditions
We may update these Terms at any time to reflect changes in law, Our practices, or the Course content. Any changes will be posted on this page, and We will notify existing users via email. Your continued use of the Course after such changes constitutes Your acceptance of the updated Terms.
14. Termination
We may terminate Your access to the Course at any time if You breach these Terms, with or without notice. Upon termination, Your license to use the Materials will immediately cease, and You must cease all use of the Course, in accordance with UK law.
